SinoLatin Capital’s private equity division (www.sliainvestments.com) seeks to acquire majority or minority equity stakes in Latin American natural resource companies where we can add value by linking the investment to China. SLIA Investments targets private companies and non-core divisions of larger corporations. On a selective basis, we may also pursue "roll-up" opportunities where consolidation strategy will yield synergies and a competitive advantage.

Our investment strategy is value-oriented and based on the following general tenets:

Disciplined Approach: SLIA's investment philosophy is based upon buying excellent businesses at attractive prices. Among many other factors, we seek to invest in Latin American companies that possess certain attributes:

         Straightforward business model
         Healthy cash flow margins
Management teams with experience, a track record and integrity
Obvious link between Latin America and China where we can add value

Striving to Create Value Alongside All Stakeholders: SLIA believes that a successful private equity transaction is one in which the economic interests of stakeholders are aligned. In all of our transactions, we seek to include performance-based profit sharing plans and direct ownership of common equity by a broad group of managers, employees and, when warranted, local community leaders. We strongly believe that a well constructed employee-ownership philosophy will result in increased performance and a level of commitment that will enhance our investment returns. SLIA's emphasis is on building shareholder value, and we want to make sure that all parties have a stake in the success of the venture.

Focus on Natural Resources-related Companies: SLIA seeks to invest in Latin American companies where there is a tangible link to China. The most obvious links relate to natural resources, including mining, energy, forestry and agribusiness. We also seek to have limited investments in infrastructure assets such as ports and railways—if they are related to transporting or handling commodities:

         Agribusiness
         Energy
         Forestry
         Infrastructure
         Industrial
         Metals and mining

Geography: We invest in Latin American companies where there is a logical and clear link to China.

Transaction Focus: Broadly speaking we seek to make investments in:

         Private companies
         Spin-offs of larger companies
Greenfield, or start-up projects which meet certain criteria
Other special purpose vehicles used to acquire commodities assets in Latin America

Ownership: We can take majority or minority ownership investments in companies/projects.
